Meeting was held on June 15, 2020 at 9:30 am in the picnic area below the Sonora Library.
Attendees: Maureen Carden, Linda Happel, Barbara Conley, Bob Feigen, Brenda Ehmann, Celia Niemerow, and John Sharum.
We had the required quorum to conduct business for the Organization.
Treasurer’s Report: John Sharum is temporarily filling the role of treasurer and membership chairman for Lisa Massey. We have a current checking balance of $5548 and a savings balance of $3200. Until we start having regular meetings or until we start to have expenses associated with the annual art show, we should have sufficient funds for the remainder of the year. We added eight new or returning members, mostly from the new artists at the expanded Aloft Gallery giving us a total paid membership of 98.
Next Meeting: Our next regular meeting is scheduled for September21, 2020. Because of Covid 19 restrictions, we were forced to cancel meetings in March, April, May and June. The future use of the Community Room at the Library is still in question even if we are able to hold a meeting, due to budget restrictions and additional restrictions on opening the library. Therefore, we will look for alternate sites for September. Linda Happel will contact Hurst Ranch and if not available, Indigeny. We will continue to monitor the situation and advise the membership of the venue in early September. John Sharum will contact Andrea Morris to see if she would like to try again for doing a demo for us in September.
Discussed our ability to fund school art programs even if we could not raise money through our annual art show. Ideas of other fund-raising ideas were raised, but deferred until a decision is made on the art show. Similarly, we deferred a detailed discussion of which schools and by how much to support them. Generally, we hope to continue with our current level of support. The idea of four $500 mini-Grants that schools could propose to MLAA was discussed during the Art Show discussion below.
The next turnaround at Aloft Gallery is July 28. John Sharum will contact Susan Kendall to make sure we have at least two member artists who are not in the gallery or recently shown in our other venues to be picked for showing during the next period ( July, August, September) He will check on who is slated for the Anticoagulant venue and propose any changes in the process that he recommends for Board approval.
A major topic of discussion was the Annual Art Show: Linda Happel contacted the City and they are not sure what events will be allowed in September but they have not been cancelled, so we will proceed on the assumption that our show slated for October 23-25 could be held. The first payment for the Opera Hall was made on December 2, 2019. The next payment of $450 is due August 21, 2020—60 days before the event. A refundable cleaning deposit of $300 is also due before the show. Linda will keep in contact with Rochelle Kellogg as we approach that date in case we need to cancel.
We discussed judges for the show and Linda will contact Jeannie Vodden and Barbara Conley will contact Chuck Waldman. If unavailable, we will contact Dan Peterson and Peggy Kroll-Roberts. They will be judging in the hall on October 21.
The issue of food—no buffet? —was a potential future issue, as will be the number of people allowed to attend at one time depending upon if we are in Stage 3 or Stage 4. We believe the wine pouring/fund raising could proceed with proper protocols as wine tasting is now able to be held. The raffle donations and general donations will likely be more difficult. We will try to hold our costs down by getting donations of baskets and ribbon, etc. The thought was to have fewer but more valuable baskets.
We discussed alternate venues if the City will not let us use the Opera House. Linda will follow up with Hurst Ranch and Intersactum as possibilities but we will probably cancel the show if the Opera House is not available.
On the website we will solicit volunteers and art for art donations. We revised the prospectus and Linda will circulate a new copy. We need to also get back to the schools to let them know we are trying to move forward with the show, subject to possible restrictions.
Celia asked that someone write a publicity piece to go to the papers, etc. to announce that we are planning to proceed. Maureen and John will collaborate.

Proposed Amendments to By-Laws
BY LAWS
MOTHER LODE ART ASSOCIATION, INC.
ARTICLE I, NAME
The name of the organization shall be the Mother Lode Art Association. The Mother Lode Art Association is a non-profit organization operating under State of California Franchise Tax #0270193. Federal Internal Revenue #87-0715424.
ARTICLE II, OBJECTIVES
The objectives of this organization are to foster an interest in the fine arts, to encourage the membership to participate in creating art work and to support the appreciation of fine art in all of its manifestations in the community.
ARTICLE III, MEMBERSHIP
SECTION 1
Any individual or organization who is interested in and sympathetic with the objectives of this organization may become a member in the Mother Lode Art Association.
SECTION 2
Membership annual dues shall be due January 1 of each year. Dues will be considered lapsed if not received by March 1 of each year. Membership is reinstated by payment of the dues.
ARTICLE IV, OFFICERS AND DUTIES
SECTION 1
The elected officers shall be President, Vice President, Secretary and Treasurer. These elected officers and the Immediate Past President shall comprise the Executive Committee. The Immediate Past President shall also serve as Parliamentarian. The office of Vice President should be considered to be in line for the Presidency. The Executive Committee shall appoint the Art Show Chairman, Program Chairman, Membership Chairman, Newsletter Chairman, Publicity Chairman, Scholarship/Funding to the Schools Chairman, Sonora Photo Club Chairman, Historian, Hospitality and Nominating Committee. The Board of Directors will be comprised of these Chairmen. An Aloft Director shall serve on the Board of Directors. Vacancies will be filled by appointment by the Executive Committee.
SECTION 2
Five members of the Board of Directors shall constitute a quorum.
SECTION 3
DUTIES OF THE OFFICERS:
PRESIDENT: The President shall be the principal executive officer of the organization and shall supervise the work of
the organization. The President shall preside over all regular, special and board meetings, may sign checks and official papers as authorized by the membership. The President cannot initiate a motion from the chair or vote except to break a tie-vote.
VICE-PRESIDENT: The Vice President shall preside in the absence of the President and shall perform the duties of the President in the event of the President’s absence or inability to act. The VP should be considered in line for the President.
SECRETARY: The Secretary shall keep minutes of all board meetings. The minutes for the board meeting are to be read and approved by those in attendance and copies made available to all members. The Secretary or President shall conduct all official correspondence for the organization.
TREASURER: The Treasurer shall be the custodian of all funds and keep an accurate accounting of all transactions. The Treasurer shall prepare a budget to be approved by the Executive Committee. The Treasurer or President may sign checks drawn on the organization for budget approved items. The Treasurer shall maintain the official financial records of the organization in a safe location and transfer said records to the successor in the office.
ARTICLE V, MEETINGS
SECTION 1
The Nominating Committee shall be comprised of the Nominating Chairman, appointed by the Executive Committee and two members at large appointed in September. In October, the Nominating Committee shall report to the Board with their slate of officers.
SECTION 2
Election of new officers shall be held at the General Meeting in November. Installation of these officers shall be held during the General Meeting in January.
SECTION 3
Regular meetings of the Mother Lode Art Association shall be held monthly, on the third Monday of each month, at the Tuolumne County Library Conference Room in Sonora, California unless otherwise designated.
SECTION 4
There shall be a minimum of four meetings of the Board of Directors during the year open to the general membership. Special meetings of the membership may be called at any time and at any place by the President, Committee Chairmen or two or more members. All members shall be notified of such meeting at least one week in advance of such meeting.
SECTION 5
All questions of parliamentary procedure shall be settled according to “Robert’s Rule of Order”.
ARTICLE VI, FUNDS
SECTION 1
The Mother Lode Art Association Board of Directors and/or authorized committee chairmen may enter into contracts and/or allocate funds for furthering the purpose of the Association after securing the consent of the Executive Committee. All extraordinary, non-customary expenditures will require approval of the members present.
SECTION 2
Annual Dues may be changed by vote of the membership.
ARTICLES VII, FISCAL YEAR
SECTION 1
The fiscal year of the Mother Lode Art Association is from January 1 to December 31.
ARTICLES VIII, AMENDMENT
SECTION 1
These by-laws may be amended by a majority vote of the members in good standing, in attendance at any regular scheduled meeting or any special meeting, called for that
purpose, provided that such amendments shall be plainly stated in writing at which time they are to be considered.
SECTION 2
A meeting at which amendments are to be considered must be announced at least one month in advance.

The Board of Directors will determine the amount of the yearly funding and it will be approved by majority vote of members present at the General Meeting. The usage of that funding will be chosen by the Scholarship Chairman and Board of Directors and approved by majority vote of the members present at the General Meeting.
CHANGES TO THE STANDING RULES
These rules maybe be changed, amended or rescinded by a majority vote with prior 30 day written notice.
GALLERY
The Mother Lode Art Association sponsors the Aloft Art Gallery and operates under the umbrella of the MLAA non-profit licenses. The purpose of the Aloft is to maintain a space for MLAA members to exhibit and sell their work, provide a place to administer gallery activities for the education of the public, provide enhancement of life through appreciation of the arts, and to promote quality in the visual arts. All gallery participants must be members of the MLAA. The gallery provides the MLAA with a full wall space for hanging MLAA members art in the gallery, the value of the space is $700 per year. In addition, a suitable portion of the gallery is dedicated to MLAA for storage. Aloft will provide a liaison to MLAA and keep the
informed of the gallery activities. Aloft also pays a $550 annual liability insurance premium which also covers MLAA activities.
Sonora Photo Club
As of December 2019, members in good standing of the Sonora Photo Club, governed by their Sonora Photo Club By Laws, are also members in good standing of the Mother Lode Art Association. This arrangement affords the Sonora Photo Club access to MLAA’s liability insurance and non-profit status and affords the Mother Lode Association a larger membership to further its objective of fostering interest in fine arts in the community.
